Luvira Consulting is seeking an experienced Contract Attorney with a strong background in intellectual property (IP) law, corporate transactions, and commercial agreements to support an active legal practice.

This role focuses on drafting, reviewing, and negotiating IP-related agreements, identifying legal risks, and supporting transactions involving startups, investors, and growing businesses. Responsibilities may include IP due diligence for mergers and acquisitions, venture capital financings, and other corporate and commercial transactions.

The ideal candidate combines strong transactional experience with practical knowledge of IP ownership, licensing, confidentiality, and contractual protections. Experience at a large law firm or established corporate legal practice is preferred.

Responsibilities:

  • Draft, review, and negotiate IP licenses, assignments, NDAs, and commercial agreements.
  • Assess IP risks and conduct due diligence for M&A, corporate transactions, and startup investments.
  • Review transactional documents to protect client interests and minimize legal exposure.
  • Support venture capital financings, M&A, corporate governance, and commercial negotiations.
  • Identify issues involving IP ownership, trade secrets, proprietary technology, and work product.
  • Use AI-assisted tools for drafting, document review, and research, independently verifying accuracy and compliance.
  • Collaborate with legal teams and advisors to meet deadlines and manage competing priorities while maintaining accuracy and confidentiality.

Qualifications:

  • Juris Doctor (JD) and active California Bar membership in good standing.

  • 4–7 years of relevant legal experience, preferably at a large law firm or corporate legal practice.

  • Experience in IP law, licensing, IP due diligence, and complex contract negotiation.

  • Strong background in corporate transactions, commercial agreements, venture capital, M&A, or emerging companies.

  • Knowledge of IP ownership, confidentiality, trade secrets, and technology-related risks.

  • Experience using AI tools in legal practice, with the ability to verify AI-generated work.

  • Strong legal judgment, attention to detail, and ability to work independently.

  • Excellent writing, organizational, and time-management skills, with the ability to manage multiple matters and meet deadlines.

The ideal candidate has strong transactional and IP experience, with the ability to assess legal risks, advise on ownership and licensing, and protect clients’ commercial interests. Leading law firm experience in corporate, technology, emerging companies, or IP matters is preferred. Must be commercially minded, independent, and skilled in using AI tools while maintaining legal accuracy and quality.

The hourly rate is $125 - $175, depending on experience, qualifications, and relevant expertise.

The expected commitment is approximately 20 hours per week. This is a part-time independent contractor engagement.
